Flggd Terms of Service

Welcome to Flggd, an anti-scam and anti-fraud application operated by Flagged PBC, Inc. (“Flagged,” “we,” “us,” or “our”). Flagged PBC, Inc. is a Delaware Public Benefit Corporation committed to empowering users to detect, report, and avoid fraud and scams.

These Terms of Service (“Terms”) govern your access to and use of the Flggd mobile, web, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility

You must be at least 16 years old to use Flggd. By using the Service, you represent and warrant that:

• You are legally capable of entering into a binding agreement, and
• All information you provide during registration is truthful, accurate, and complete.

2. Account Registration

Certain features of Flggd require you to create an account. You are responsible for safeguarding your credentials and all activity under your account.

Flagged reserves the right to suspend, restrict, or terminate any account that violates these Terms, engages in fraudulent behavior, or interferes with the integrity of the Service.

3. Use of the Service

You agree to use the Service lawfully and responsibly. You may not:

• Upload false, misleading, or malicious content or reports;
• Interfere with the operation of the Service or attempt unauthorized access;
• Engage in conduct that could harm other users, Flggd, or third parties.

Flagged reserves the right to review, remove, or restrict access to content or accounts at its sole discretion.

4. Communications from Flggd

By registering for an account, you consent to receive communications from Flagged PBC, Inc., including:

• Service announcements and operational updates;
• Security alerts, verification requests, or policy notifications;
• Marketing and promotional materials related to Flggd or affiliated services.

You may opt out of non-essential marketing communications at any time through account settings or unsubscribe links in emails. Service-related communications, however, are considered necessary for your account and cannot be opted out of.

5. Data Collection and Use

Flagged collects and processes information that you provide and data automatically generated by your use of the Service. This includes:

• Registration, contact, and device information;
• Activity, interaction, and report submission data;
• Technical logs and diagnostic data.

Flagged may use this data for:

• Improving, maintaining, and personalizing the Service;
• Fraud detection, prevention, and research;
• Business analytics, reporting, and development purposes.

Flagged may aggregate or anonymize user data for research, statistical, and commercial purposes, including the ability to sell, license, or share aggregated insights with third parties such as research partners, commercial clients, and analytics firms. Aggregated data will not reasonably identify individual users.

6. Data Sharing and Privacy

Flagged takes reasonable measures to protect user data, but you acknowledge and accept that:

• No digital platform is completely secure;
• Flagged may share information with trusted service providers and vendors who support operational, analytical, or technical functions;
• Data may be disclosed when required by law, regulation, or legal process, or to protect the safety of users and the public.

7. Intellectual Property

All content, software, trademarks, and designs available through Flggd are the property of Flagged PBC, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for personal, non-commercial purposes.

No rights or ownership are transferred to you through the use of the Service.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

Flagged makes no warranties, express or implied, including but not limited to:

• Accuracy, completeness, or reliability of reports or data;
• Continuous, error-free, or secure operation;
• Prevention of all fraudulent or scam-related activities.

Your use of the Service is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Flagged PBC, Inc., its officers, directors, employees, affiliates, and agents are not liable for:

• Any indirect, incidental, consequential, or special damages;
• Loss of profits, data, reputation, or business opportunities;
• Unauthorized access to or misuse of your data.

In no event shall Flagged’s total liability exceed the amount you paid (if any) for use of the Service within the past twelve (12) months.

10. Termination

You may close your account at any time.

Flagged may suspend, limit, or terminate your access to the Service at any time and for any reason, including breach of these Terms or conduct deemed harmful.

Upon termination, certain provisions—such as intellectual property, data rights, limitation of liability, and governing law—shall survive.

11. Modifications to These Terms

Flagged reserves the right to update or modify these Terms at any time.

Revisions will be posted within the app or on the Flggd website with an updated effective date. Continued use after changes constitute acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located within the State of Delaware.
